These Terms of Service ("Terms") govern your use of the Damaforge website at damaforge.com and any software development services provided by DamaForge Ltd ("Damaforge", "we", "us", or "our").

By accessing our website, creating an account, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services

Damaforge provides custom software development services including, but not limited to: web applications, mobile applications, API development, database solutions, e-commerce platforms, and system integrations.

All services are custom-built to client specifications. We do not sell off-the-shelf software products. The scope, timeline, and cost of each engagement are agreed upon in a separate project proposal or Statement of Work ("SOW").

3. Project Engagements

3.1 Project Initiation

A project begins upon mutual written agreement (email or signed SOW) confirming scope, timeline, and pricing. The submission of a contact form does not constitute a binding agreement.

3.2 Discovery Phase

All projects include a discovery phase where we document your requirements. Timelines and costs are only confirmed after discovery is complete. Any requirements identified after discovery that materially change scope may affect pricing and timeline.

3.3 Revisions & Change Requests

Reasonable revisions that fall within the agreed scope are included. Changes that materially expand scope will be quoted as additional work and must be approved in writing before implementation.

4. Payment Terms

4.1 Milestone-Based Payments

Payments are structured across project milestones as outlined in the SOW. Typical structure:

Deposit (30–50%): Due upon project commencement to secure your spot.
Mid-project milestone(s): Due upon delivery of agreed deliverables.
Final payment: Due upon project completion and client sign-off, before source code handover.

4.2 Pricing

Projects start from GHC 2,500 for MVP builds. All prices are quoted in Ghanaian Cedis (GHC) unless otherwise agreed. Published pricing on our website is indicative and subject to final confirmation after discovery.

4.3 Late Payments

Invoices are due within 7 days of issue unless otherwise agreed. We reserve the right to pause work on overdue accounts. We do not charge interest on late payments but may renegotiate timelines where payment delays cause project disruption.

4.4 Refunds

Deposits are non-refundable once work has commenced. If Damaforge is unable to complete the project due to our own fault, we will refund any payments made for uncompleted milestones on a pro-rata basis.

5. Intellectual Property & Ownership

5.1 Client Ownership

Upon receipt of full final payment, you receive full ownership of all custom code, design assets, and documentation created specifically for your project. This includes the source code, database schemas, and deployment configurations.

5.2 Third-Party Components

Your project may incorporate open-source libraries, frameworks, or third-party APIs. These remain subject to their respective licences (e.g., MIT, Apache 2.0). We will document all third-party dependencies used in your project.

5.3 Damaforge Portfolio Rights

Unless you request otherwise in writing, Damaforge reserves the right to reference your project in our portfolio, case studies, and marketing materials, without disclosing confidential business information.

5.4 Website Content

All content on damaforge.com — including text, graphics, logos, and design — is the property of DamaForge Ltd and may not be reproduced without written permission.

6. Client Responsibilities

To enable us to deliver your project successfully, you agree to:

Provide timely feedback on deliverables (we allow up to 5 business days per review cycle; delays may affect the timeline).
Supply all required content, assets, credentials, and third-party access in a timely manner.
Appoint a single primary point of contact to avoid conflicting instructions.
Ensure that any content or data you provide does not infringe third-party rights or applicable law.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business processes, pricing, technical architecture, and client data. This obligation survives termination of the project for a period of 3 years.

We will not share your confidential information with third parties except as necessary to deliver your project (e.g., hosting providers), and only under equivalent confidentiality obligations.

8. Post-Launch Support & Warranty

All projects include a 30-day warranty period after launch. During this period, we will fix any bugs that arise directly from our implementation at no additional charge.

The warranty does not cover:

Issues arising from third-party service changes or outages.
Modifications made by the client or third parties after handover.
New feature requests or scope changes.

Ongoing maintenance and support beyond the warranty period is available under a separate maintenance agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Damaforge's total liability for any claim arising from a project shall not exceed the total fees paid by you for that specific project.

We shall not be liable for:

Indirect, incidental, or consequential losses (including lost profits or data).
Losses arising from third-party service failures, outages, or changes.
Delays caused by the client's failure to meet their responsibilities under Section 6.

Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence.

10. Termination

Either party may terminate the engagement with 14 days' written notice. In such a case:

You will pay for all work completed up to the termination date.
Damaforge will deliver all work completed to date upon receipt of outstanding payment.
Deposits are non-refundable once work has commenced.

We reserve the right to terminate immediately if you engage in abusive conduct, breach confidentiality, or fail to make agreed payments for more than 30 days.

11. Website Use

You agree not to use damaforge.com to:

Violate any applicable laws or regulations.
Transmit harmful, offensive, or fraudulent content.
Attempt to gain unauthorised access to any part of our systems.
Reverse engineer, scrape, or reproduce our website content without permission.

12. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Ghana. Any disputes arising from these Terms or a project engagement shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the courts of Ghana.

13. Changes to These Terms

We may update these Terms at any time. The updated version will be published on this page with a revised "Last updated" date. For active project engagements, we will notify you directly of any material changes. Continued use of our website constitutes acceptance of the updated Terms.
